Overview

François-Guilhem Vaissier is a partner in the Paris office's Project Development & Finance team.

His practice mainly includes the private sector participation (PSP) and all aspects of the structuring and financing of infrastructure and industrial and energy projects (including renewable energy), as well as their corporate law specificities.

François-Guilhem Vaissier managed several large projects in France (railway projects, motorways, road tunnel, airport operation, co-generation plant, wind farms), Europe (underwater tunnel, water and wastewater concession), Africa (hydro-power plant and aluminium smelter project, coal-fired power plant, cement plant, motorway concession, mining concessions, free zone areas, oil production sharing agreements and privatization of a national air carrier), Asia (First Public Private Partnership for a metro project in India) and the Middle East (airport BOT, real estate financing). He gained significant practice in drafting project’s documentation relating to large transactions and in conducting legal due diligence.

Toll Road Concession Agreements, Senegal
Representation of Société Eiffage de la Concession de l'Autoroute de l'Avenir (SECAA) and its shareholder Eiffage on the renegotiation and extension of the duration of the Dakar-Diamniadio-Blaise Diagne International Airport public-private partnership (PPP) Toll Road Concession Agreements with the State of Senegal, and the entry of the State of Senegal into SECAA's capital.

Exploration and exploitation of hydrocarbons, Africa
Representation of Occidental Petroleum (OXY) in the context of the management of one of its major assets for the exploration and exploitation of hydrocarbons in Africa.

Cross-border Niger-Benin pipeline
Representation of the State of Niger in the negotiation of its oil and gas contracts and on the development of a project involving the financing and construction of a cross-border Niger-Benin pipeline.

Atinkou Power, Ivory Coast
Representation of Atinkou and its shareholder Eranove in connection with the structuring and financing for a total amount of €404 million (including €303 million in external financing) of a 390 MW cogeneration power project in Ivory Coast. This operation was named "Editor's Choice Award" by IJ Global magazine in 2021.

Compagnie Ivoirienne d'Electricité, Ivory Coast
Representation of Compagnie Ivoirienne d'Electricité (CIE - a flagship company in the African energy sector and second biggest Ivorian company with around 5000 employees, which is listed on the BRVM stock exchange) as well as its shareholder Eranove in relation to the October 1st, 2020 signing of the renewal of the Public Service Concession Agreement for the production, transport, distribution, dispatching, export and import of electrical power, extending for 12 years.

Namakhvani hydropower, Georgia
Representation of the Ministry of Economy and Sustainable Development of Georgia in connection with the 434 MW Namakhvani hydropower project plant cascade project located in the Tskaltubo and Tsageri regions of Georgia to be implemented by Clean Energy Group Georgia LLC under a build-own-operate agreement.

El Sewedy's acquisition of a portfolio of windfarms and hydropower plants, Greece
Representation of National Bank of Greece in relation to the 41,745,000 € financing for the acquisition by the El Sewedy group of a portfolio of 5 windfarms and 2 hydroelectric plants in Greece, through 4 Greek law bond programmes which main terms are governed by French law.

Owendo thermal power plant, Gabon
Representation of Wärtsilä Development & Financial Services and the Fonds Gabonais d'Investissemens Stratégiques (FGIS) in connection with the construction and operation of an 80 MW thermal power plant located in Owendo, Gabon.

Sahofika Power, Madagascar
Representation of Eiffage, Themis Energy and Eranove as sponsors in connection with the development, construction and financing of a 200MW hydro project in Madagascar.

Ngoulmendjim and Dibwangui hydropower projects, Gabon
Representation of Eranove and the Fonds Gabonais d'Investissements Stratégiques (FGIS) in connection with the negotiation of a concession agreement for the financing, design construction and operation of a 73 MW hydropower project located in Ngoulmendjim and a 15 MW hydropower project located in Dibwangui in the Gabonese Republic. These transactions were named "Best Water Deal in Africa" by EMEA Finance.

Representation of LELP Anaklia Deep Sea Port Development Agency of the Ministry of Regional Development and Infrastructure of Georgia in connection with the negotiation of an amendment to the investment agreement entered into by the Government of Georgia relating to the build, operation and transfer of the Anaklia Deep Water Black Sea Port.
