Biography
Overview
Jay currently serves as Co-Head of the Firm's Global Energy Practice and as the Executive Partner of the Houston office. Jay's practice involves the representation of clients in a wide range of complex transactions across the energy and energy transition industries, including project development, acquisitions and divestitures, joint ventures, and related transactional matters. He has extensive experience in the upstream, CCUS, petrochemicals and LNG sectors in particular.
Over the last 40 years, Jay has worked on major energy transactions in the US and in more than 50 other countries throughout the Americas, Africa, Asia, Europe, and the Middle East.
Prior to joining the Firm, Jay was a partner at another major law firm based in Houston, and has worked in Houston, London, Moscow and Hong Kong.
Experience
Representation of Occidental Petroleum Corporation (NYSE: OXY) on the development of STRATOS, the world's largest Direct Air Capture (DAC) facility. Occidental has formed a joint venture with BlackRock Inc., the world's largest asset manager, in connection with the STRATOS project with BlackRock investing US$550 million into the joint venture.
Representation of one of the largest US independent energy companies in connection with the development of carbon capture projects in the US and in multiple other countries.
Representation of a major US private equity group in the auction and sale of its upstream assets in Asia.
Representation of a large international energy company in connection with the negotiation of a production sharing contract in Algeria, with capital expenditures of $4 billion over the 25-year term of the PSC.
Representation of Noble Energy/Chevron in a major gas monetization project in Equatorial Guinea involving the negotiation of Gas Processing and LNG Tolling Agreements, LNG marketing arrangements, agreements with the Government of Equatorial Guinea, and upstream agreements covering the development and transportation of gas to gas processing and LNG plants.
Representation of Occidental Petroleum Corp. on its US$825 million sale of onshore oil and gas assets in Colombia to The Carlyle Group, a private equity management firm.
