Overview

Executive Partner of the Madrid office and head of the M&A/Corporate Group in Spain, Juan Manuel focuses on general corporate law, capital markets, mergers and acquisitions and private equity. Ranked as a leading lawyer in his field by top legal directories IFLR 1000, Legal 500 and Chambers, Juan Manuel's reputation is based on a track record of supporting corporates and private equity funds in some of the most significant M&A cross-border transactions in the Spanish markets. Clients also look to Juan Manuel for his experience advising on domestic and international capital markets transactions. He brings knowledge and insight to clients' public and private equity and debt requirements, handling initial public offerings (IPOs), including SEC registered, Rule 144A and Regulation S transactions. At ease navigating the multijurisdictional intricacies of major cross-border deals, he is dual-qualified in Spain and New York and fluent in English, French, Italian and Spanish. Juan Manuel joined the firm in March 2013 from an international law firm in Madrid, where he was a partner and the head of the Corporate department in Spain.

M&A:

Representation of Citi, financial advisor to Telefónica S.A., in connection with Telefónica's US$648 million sale of its telecommunications businesses to América Móvil SAB de CV.

Representation of WAG payment solutions, a.s. (Eurowag), a European leading mobility solutions provider and a registered EETS provider, in its acquisition of a majority stake in ADS, a top road haulage fuel card operator in Spain and Portugal. The acquisition adds a strong presence on the Iberian transportation market to Eurowag capabilities, giving the company a significant position in the fuel sales completed to Portuguese carriers, and further increasing Eurowag portfolio in Spain. By completing this transaction Eurowag consolidated sales will reach €2 billion in 2018.

Representation of Samsung in the acquisition of the Spanish company Zhilabs, S.L., a company engaged in the business of network analytics for telecoms.

Representation of Iberdrola USA in its merger with UIL Holdings Corporation. 81.5% of the joint company is owned by Iberdrola SA and 18.5% by UIL shareholders and listing on the NYSE. Value: US$3 billion.

Representation of Klépierre, the leading European shopping center platform, in the disposal of the Gran Via de Hortaleza retail mall located in Madrid (Spain) to Carmila. The disposal also involved the sale of the Grand Vitrolles retail mall located near Marseille (France) also to Carmila. The disposal of both retail malls was for a total consideration of €212.2 million (including transfer duties).

Representation of JP Morgan Asset Management in relation to the acquisition of Naturgas Energía Distribución a Spanish supplier of natural gas and liquefied propane gas through more than a million supply points across 7,715km of pipeline, located in the Basque Country, Cantabria and Asturias by a consortium of institutional investors led by JP Morgan and including the Abu Dhabi Investment Council, Swiss Life Asset Managers and Covalis Capital.

Representation of Citi, as financial advisor, in the US$770 million (€701 million) acquisition of Telecable de Asturias, S.A.U., by Euskaltel, S.A. one of the leaders in the Telecom sector in the Spanish market.

Representation of CaixaBank, S.A., a leading Spanish bank listed on the Madrid Stock Exchange, as issuer in the issue of €1,250,000,000 Additional Tier 1 Preferred Securities listed on AIAF (Spain's regulated fixed-income market).

Representation of Deutsche Bank AG, London Branch as Global Coordinator and Citigroup Global Markets Limited as Co-Global Coordinator in a €121,549,669 private placement, through an accelerated bookbuilding process, of the Spanish bank Liberbank, S.A. The sellers, the three banking foundations (formerly "Cajas") that founded Liberbank in 2011, will use the proceeds to exercise their preferential subscription rights in the rights offering of Liberbank in a cash neutral "tail-swallow" transaction.

Representation of Citigroup Global Markets, Goldman Sachs International, BBVA and Banco Santander, as joint global coordinators, on the IPO of Prosegur Cash, S.A., a subsidiary of Prosegur Compañía de Seguridad, S.A. formed to hold its global cash in transit business.

Representation of Goldman Sachs and JP Morgan on the attempted initial public offering (IPO) on the Spanish Stock Exchange of Telxius Telecom, S.A., a leading telecom infrastructure service provider in Europe and the Americas, part of the Telefónica Group.

Representation of Parques Reunidos and Arle Capital on the IPO on the Spanish Stock Exchange of Parques Reunidos, the Spanish business which owns a number of theme parks, aquariums and water parks around the world. Value: €1.25 billion.
